Draft. These terms have not been reviewed by a lawyer. The structure is in place so the system can be built and tested against something real-shaped, but the text must not be published or relied upon before a professional review.

1. Parties and subject matter

These terms govern the agreement between the Wole service (the Service) and the restaurant business using it (the Partner). The Service is provided by the operator identified on the invoice.

The Service is software with which the Partner receives and handles orders, maintains its product range, manages deliveries and receives payments. The Service does not sell food. The seller of the food is always the Partner, who is responsible for its products, their safety, compliance with food law and its own pricing.

2. Formation

The agreement is formed when the Partner's representative accepts these terms in the Service. The acceptance records who accepted, when, from what IP address and which version was accepted.

3. Fees

The Partner pays a monthly fee and a commission as separately agreed between the parties. The monthly fee is invoiced in advance for each month that starts. Commission is charged on orders paid online and is deducted from the amount settled to the Partner.

Prices are stated exclusive of VAT unless otherwise indicated. VAT is added at the rate in force at the time.

4. Invoicing, late payment and collections

Invoicing and the collection of receivables may be handled by an external invoicing service used by the operator. The Partner must keep its invoicing details current in the Service: invoicing address, billing contact and email, and any e-invoicing address and operator identifier.

Late payment incurs statutory interest together with reminder and collection charges, within the limits permitted by the legislation in force. An overdue receivable may be passed to a collection agency.

The operator may close the Partner's shop to customers if payment is materially overdue. Closing the shop does not end the obligation to pay overdue amounts and does not prevent orders already received from being completed.

5. Payment handling and settlement

Orders paid online are paid into the operator's payment account. The operator settles the Partner's share according to the agreed settlement period, less commission and any refunds. The settlement breakdown is visible in the Service.

6. Partner obligations

  • Keep product information, prices, allergen information and opening hours current.
  • Handle orders received and inform the customer of delays.
  • Be responsible for the acts of its own staff and drivers.
  • Keep credentials secure and report misuse.

7. Limitation of liability

The Service is provided as it is. The operator is not liable for indirect damages, lost profit, or damage caused by the Partner's own error, by a third-party service failure, or by force majeure. The operator's liability is in all cases limited to the amount the Partner has paid for the Service during the six months preceding the event giving rise to the damage.

8. Personal data

The parties process personal data in accordance with the GDPR. In respect of customer orders, the operator acts as processor on the Partner's behalf to the extent that data is processed on the Partner's instructions.

9. Term and termination

The agreement is in force until further notice. The Partner may request termination from the billing view in the Service. A request does not end the agreement by itself: the operator handles the request and confirms the termination date. Termination does not end the obligation to pay amounts already due or invoiced for the current period.

The operator may terminate the agreement if the Partner materially breaches these terms and does not remedy the breach within a reasonable time after notice.

10. Changes to these terms

The operator may change these terms. Changed terms are published as a new version and the Partner is shown a notice in the Service until the new version is accepted. Earlier versions remain available.

11. Governing law and disputes

Finnish law applies. Disputes are settled primarily by negotiation and otherwise in the district court of the operator's domicile.
